Assignment of Intellectual Property in an Asset Sale
As mentioned previously, the seller's business assets may include intellectual property such as copyrights, patents, trademarks, service marks, and trade secrets. If these are included in the sale, the seller will have to formally assign these intellectual property rights to the buyer.
